Terms of Service
The terms and conditions governing your use of WOCOM products and services.
Introduction
Please read these Terms of Service ("Terms") carefully before using the services operated by WOCOM Limited ("us", "we", "our"), a company registered in Jamaica with offices at 30-32 Red Hills Road, Kingston 10.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part, then You may not access the Service.
1. Services
WOCOM provides cloud-based telecommunications services to businesses in Jamaica and the Caribbean, including but not limited to: Cloud PBX (hosted business phone systems), Flexi-SIP Trunk (SIP trunking services), WOCOM AI (AI-powered virtual receptionist), Contact Center solutions, Business Continuity Services (BCS), and related portal access, mobile applications, and hardware rental.
2. Accounts
When You create an account with Us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account.
You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password. You agree not to disclose Your password to any third party and must notify Us immediately upon becoming aware of any breach of security or unauthorised use.
3. Service Plans & Billing
3.1 Plans and Pricing
All service plans, features, and pricing are as described on our website and in the applicable service agreement. Prices are quoted in Jamaica Dollars (JMD) unless otherwise stated. General Consumption Tax (GCT) of 15% applies to all services.
3.2 Payment Terms
Payments are processed via Stripe or other payment methods as specified. Monthly billing occurs on a 28-day cycle from the date of activation. Annual plans are billed upfront for the full year and include a discount as advertised.
3.3 Contract Terms
Cloud PBX and Flexi-SIP Trunk services require a minimum 1-year contract for new accounts. WOCOM AI services are billed monthly or annually with no minimum contract unless otherwise stated. Early termination fees may apply.
3.4 Usage Limits
Certain services, including WOCOM AI, include monthly minute allowances. Usage beyond allocated minutes may result in service suspension or additional charges. We will notify you when you approach 75%, 90%, and 100% of your usage limit.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You agree not to use the Service:
- In any way that violates any applicable Jamaican or international law or regulation.
- To transmit any material that is defamatory, obscene, threatening, or otherwise objectionable.
- For the purpose of spamming, robocalling, or unsolicited commercial communications.
- To engage in any form of fraud, including telecommunications fraud.
- To impair or interfere with the proper working of the Service or networks of other providers.
- To attempt to gain unauthorised access to any accounts, systems, or networks connected to the Service.
5. Phone Numbers (DIDs)
Local 876 phone numbers and international DIDs assigned to Your account remain the property of WOCOM and/or the underlying carrier. Upon termination, numbers may be ported to another carrier subject to applicable regulations and fees. WOCOM does not guarantee availability of specific phone numbers.
6. Equipment
Hardware provided on a rental basis (including IP phones and accessories) remains the property of WOCOM Limited. Upon termination, rented equipment must be returned in good working condition. Failure to return equipment may result in charges for the replacement value.
7. WOCOM AI — Additional Terms
WOCOM AI uses artificial intelligence to answer and manage phone calls on Your behalf. By using this service, You acknowledge and agree that:
- AI responses are generated by machine learning models and may not always be perfectly accurate.
- You are responsible for configuring Your AI agent's knowledge base, FAQs, and greeting templates accurately.
- Call recordings and transcriptions are stored securely and accessible through Your portal.
- WOCOM is not liable for any business decisions made by callers based on information provided by the AI agent.
- The AI service requires an active internet connection and depends on third-party AI providers for processing.
8. Service Level Agreement
WOCOM provides 99.999% uptime reliability for SIP Trunk services and 99.9% for Cloud PBX and Contact Center services.
Downtime credits may be issued at WOCOM's discretion for service interruptions within WOCOM's control. WOCOM is not responsible for outages caused by the customer's local network, ISP, power failures, or other circumstances beyond our control.
9. Limitation of Liability
To the maximum extent permitted by law, WOCOM Limited, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
WOCOM's total liability for any claims arising from the Service shall not exceed the amount You paid to WOCOM during the twelve (12) months preceding the claim.
10. Termination
We may terminate or suspend Your account immediately, without prior notice or liability, for any reason whatsoever, including if You breach the Terms. Upon termination, Your right to use the Service will immediately cease.
You may terminate your service by providing written notice in accordance with the minimum contract terms. Any outstanding balance must be paid in full upon termination.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of Jamaica, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any material changes taking effect. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
